By joining our referral programme and referring entrepreneurs to Edventures, you give them structured, AI-powered coaching and accountability so they can keep building, learning, and moving forward. When someone chooses to upgrade for deeper access and more dedicated support, your organisation receives a bonus.

Joining is simple. This Memorandum of Understanding (MoU) just lays out how we track referrals, share rewards, and keep everything clear and flexible. Our mission is to make sure promising ideas don’t stall for lack of guidance. We know you feel the same, and this programme lets you extend that impact effortlessly, while benefiting from the success of the entrepreneurs you connect with.

Think of this programme as a way to extend your support, not your workload.

To make things a bit easier for You to read, We dedicated a section to clarify all definitions and explanations We use in this MoU. Any terms We use in this MoU without defining them have the definitions given to them in Our Privacy Policy or Cookie Policy.

“User”

Anyone who registers on the Edventures platform.

“Free User”

A User who signs up using a Referral Partner’s referral code or link and has access to Edventures on a free or limited basis (the “Free Tier” or “Free Plan”).

“Paying User”

A User who subscribes to a Paid Subscription on the Edventures platform and gains access to paid features

“Referral Code”, “Referral Link”

A unique identifier or URL issued by Edventures to the Referral Partner for tracking referrals and attributing eligible Paying Users to that Referral Partner.

“Referred Paying User”

A User who registers with Edventures using the Referral Partner’s Referral Code or Referral Link and purchases a Paid Subscription either at sign-up or within ninety (90) days of first registering as a Free User.

The purpose of this MoU is to enable the Referral Partner to promote and refer entrepreneurs and other potential users to the Edventures platform using referral codes or links, and to set out the terms under which referral rewards may be earned. The Referral Partner may also offer Edventures as an additional resource to participants in its own programmes or wider community. All Users referred under this Memorandum of Understanding use the Edventures platform under Edventures’ own user Terms of Service and Privacy Policy. Nothing in this Memorandum of Understanding changes or overrides the terms that apply directly between Edventures and individual Users.

Edvntrs Technologies AB (“Edventures”), a company incorporated in Sweden, offering an AI platform that delivers personalised, on-demand coaching and learning to support entrepreneurs in developing and growing their business ideas and projects.

The organisation accepting these terms online (the “Referral Partner”), which provides programmes, services, networks, or other forms of support to entrepreneurs, founders, students, or other individuals interested in entrepreneurship.

By completing the online sign-up flow or otherwise accepting this MoU, the Referral Partner confirms that it has read and understood this Memorandum of Understanding and agrees to collaborate with Edventures in line with these terms.

The Referral Partner will distribute, promote, and share access to the Edventures platform with entrepreneurs and other relevant individuals in its community. Edventures will provide the Referral Partner with referral tools such as unique referral codes or links, basic onboarding materials, and reasonable support to help the Referral Partner share the platform. The Parties may periodically review engagement and outcomes and may mutually decide to adjust or scale the collaboration.

This MoU takes effect on the date the Referral Partner accepts it online and continues until terminated.

Either Party may terminate this MoU for any reason by giving fourteen (14) days’ written notice (including email) to the other Party. Either Party may terminate this MoU with immediate effect if the other Party commits a material breach of this MoU, including fraud, abuse of the referral programme, or conduct that harms or risks harming Edventures’ reputation.

Upon termination, the Referral Partner must stop promoting the referral programme and stop using any referral codes or links. Any referral rewards accrued but not yet payable will be handled according to the section "Confidentiality and Publicity".

Edventures will:

• Provide the Referral Partner with access to the Edventures platform for referred users according to Edventures’ user Terms of Service.
• Provide unique referral codes or links for tracking referrals.
• Provide onboarding and promotional materials that describe the platform and how to use it.
• Keep the platform and its AI coach functioning in line with its user Terms of Service and make commercially reasonable efforts to maintain availability.
• Collect and process data about referred users’ sign-ups, subscriptions, and subscription fees in order to calculate referral rewards, in line with Edventures’ Privacy Policy and applicable data protection laws.

The Referral Partner will:

• Promote and share the Edventures platform and referral codes/links with its community using honest, accurate, and non-misleading information.
• Encourage referred users to use the platform regularly and in a way that is consistent with Edventures’ user Terms of Service.
• Not make any promises or guarantees about results, earnings, or success that go beyond what Edventures itself communicates.
• Inform Edventures promptly of any issues, feedback, or concerns relevant to the referral collaboration, including technical or onboarding problems.
• Comply with all applicable laws and regulations in its jurisdiction when promoting Edventures, including marketing, consumer protection, privacy, and anti-spam rules.

All intellectual property (“IP”) and all data generated through use of the Edventures platform, including Anna and any enhancements or modifications made during the course of this partnership, will remain the exclusive property of Edventures. Nothing in this MoU transfers any IP rights or data to the Referral Partner. For participants who sign up through the Referral Partner’s referral link, Edventures may provide the Referral Partner with aggregated, anonymised insights and reports to support programme implementation and improvement. Any such sharing will comply with applicable data protection and privacy laws, including GDPR, and no personal data will be shared without explicit consent. A more detailed data processing agreement (DPA) may be executed if required. The Parties acknowledge and agree that this section ("Intellectual Property and Data Ownership") is legally binding and enforceable.

Participation in the referral programme does not guarantee any specific number of referrals, conversions, or referral rewards.

Eligibility and Tracking

Referral Codes/Links can only be used for new Users who do not already have an existing account with Edventures. Each User can redeem only one referral offer at sign-up. A Referral Partner earns a referral reward when a Free User referred by that Referral Partner converts to a Referred Paying User, either directly when they sign up or within ninety (90) days after initially joining as a Free User. Edventures tracks referrals through its own systems. A Referred Paying User is normally attributed to the Referral Partner whose Referral Code or Referral Link was most recently used by that User at registration. Edventures attribution of referrals to the most recently used Referral Code or Link, as determined by our internal tracking system, is final and binding. No evidence submissions or disputes will be considered, preventing challenges that delay payouts.

Rewards and Incentives

For each Referred Paying User, the Referral Partner will receive a one-time referral reward equal to ten percent (10%) of the net subscription fee actually paid by that Referred Paying User for their first Paid Subscription billing period (after any discounts, promotions, or refunds). The referral reward is triggered only once per individual Referred Paying User, even if that User keeps paying for multiple billing cycles. There is no fixed upper limit on the number of Users a Referral Partner may refer, but Edventures reserves the right to introduce caps, adjust rates, or create tiers for high-volume partners in the future, as described in Section 11. Edventures may, at its discretion, offer additional recognition or non-monetary incentives (such as visibility, joint marketing, or access to features) for Referral Partners who generate high-quality or high volumes of referrals.

Payments and Reporting

Referral rewards are calculated at the end of each calendar month based on all Referred Paying Users who became eligible in that month. Payments are issued to the Referral Partner in the following calendar month, provided the total referral rewards due are at least fifty euros (€50). Amounts below this threshold are carried forward until the combined unpaid rewards reach €50 or more. Edventures will strive to pay referral rewards in the Referral Partner’s local currency whenever reasonably possible, using its banking and payment providers. Where that is not possible, payouts will be made in EUR or USD, choosing the option that is reasonably expected to minimise costs for the Referral Partner. All referral rewards are exclusive of VAT or similar taxes. The Referral Partner is solely responsible for any taxes, declarations, and reporting obligations in its jurisdiction. Edventures will provide the Referral Partner with periodic referral activity summaries showing how many Users registered using the Referral Partner’s Referral Code or Referral Link and how many became Referred Paying Users. Payment of referral rewards may be conditional on the Referral Partner providing accurate and complete payout and, where necessary, basic tax information. Upon termination, all referral rewards accrued and eligible prior to Edventures receiving termination notice (and after the notice period expires where applicable) remain valid and payable. For material breaches, payouts are suspended until claims between parties settle.​

Anti-Abuse and Compliance

The Referral Partner must not create fake accounts, self-refer, or otherwise attempt to manipulate the referral programme. The Referral Partner must not offer misleading, prohibited, or non-compliant incentives. The Referral Partner must not use spam, unsolicited bulk messaging, or deceptive practices to promote Edventures. Edventures may, in its sole discretion, withhold, cancel, or claw back referral rewards and/or suspend or terminate this MoU if it reasonably believes that referrals are fraudulent, abusive, or otherwise in breach of this MoU or applicable law.

Each Party agrees to treat the other Party’s non-public information as confidential and not to disclose it to any third party without written consent, except where required by law or regulatory authority.

Either Party may use the other Party’s name and logo in marketing materials, websites, social media, and presentations to describe the collaboration, subject to the other Party’s prior approval or previously agreed brand guidelines. Either Party may request reasonable changes or removal of any specific use of its name or logo.

The Parties are independent contractors. Nothing in this MoU creates a partnership, joint venture, employment, agency, or franchise relationship between the Parties.

The Referral Partner has no authority to make any commitments or enter into any agreements on behalf of Edventures, or to represent itself as having such authority.

The Referral Partner is free to collaborate with other providers and to promote other tools or platforms, and Edventures is free to work with other partners and organisations.

Edventures may update, suspend, or discontinue the referral programme, or change the referral reward structure (including percentages, thresholds, or eligibility rules), at any time.

Edventures will provide the Referral Partner with at least fourteen (14) days’ written notice (including email) before any material change that reduces the referral reward rate or materially affects the Referral Partner’s expected rewards.

Any changes will apply prospectively and will not affect referral rewards that have already been validly earned before the effective date of the change.

To the fullest extent permitted by applicable law, neither Party will be liable to the other for any indirect, consequential, special, or punitive damages (including loss of profit, loss of revenue, or loss of goodwill) arising out of or in connection with this MoU.

Edventures’ total aggregate liability to the Referral Partner under this MoU will not exceed the total referral rewards actually paid or payable to the Referral Partner in the twelve (12) months preceding the event giving rise to the claim.

Nothing in this MoU excludes or limits liability for gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law.

This Memorandum of Understanding is governed by the laws of Sweden, without regard to its conflict of law principles. The Parties will first attempt to resolve any disagreement arising out of or in connection with this collaboration through good-faith discussions.

Any dispute relating to the section "Intellectual Property and Data Ownership" that cannot be resolved informally may be finally settled by the Arbitration Court of the Stockholm Chamber of Commerce as the first instance venue, unless mandatory law provides otherwise.

This MoU constitutes the entire understanding between the Parties regarding the referral collaboration described herein and supersedes any prior written or oral understandings relating to the same subject. Any amendments to this MoU must be made in writing. For online Referral Partners, Edventures may present updated terms, and the Referral Partner’s continued participation in the referral programme after notice and the effective date of such updated terms will constitute acceptance.
