Why unrelated business taxable income (UBTI) matters to a first-time founder
US tax-exempt status does not make every revenue stream tax-free. Material UBTI can create filing and tax obligations, and repeated commercial activity may raise broader exemption questions. Investors in pass-through funds can also receive UBTI, depending on their status and the investment structure.
Examples of unrelated business taxable income (UBTI)
A US educational charity regularly runs paid advertising for unrelated local businesses in its newsletter. The activity is commercial and not substantially related to education, so its net income may be UBTI. Selling donated goods may fall under an exception, depending on the facts.
Common misunderstanding
Income is not UBTI merely because it comes from a business, and using the money for a good cause does not by itself make the activity related. Statutory exclusions, deductions, and exceptions apply. This is US federal tax terminology, not a universal nonprofit rule.
When to use it
Assess UBTI before a US tax-exempt organisation launches recurring commercial activity or invests through a partnership. Separate revenue and directly connected costs in the records. Obtain US tax advice on exceptions, filing thresholds, state rules, and whether the activity threatens exempt status.
