Loan acceptance

“A borrower’s valid acceptance of a lender’s loan offer on the stated terms.”

Why loan acceptance matters to a first-time founder

Acceptance can turn negotiations into binding obligations or start the process towards drawdown. Founders must know who has authority to accept, which conditions remain outstanding and whether guarantees or security are involved. A hurried click or signature may have significant consequences.

Examples of loan acceptance

A bank issues a loan offer that expires on Friday and requires signature by an authorised director. The director signs and returns it on Thursday without changing the terms. Funding still depends on the company completing identity checks and registering the agreed security.

Common misunderstanding

Accepting an offer does not always mean funds are immediately available. Conditions precedent, further documents or lender checks may remain. Changing the offered terms may constitute a counter-offer rather than acceptance, and electronic acceptance rules can differ by agreement and jurisdiction.

When to use it

Use the term when recording how and when a borrower agrees to a loan offer. Check expiry, authority, acceptance method, unresolved conditions and every incorporated document. Obtain advice before accepting material borrowing, particularly where personal guarantees or secured assets are involved.
