LLC operating agreement

“A US limited liability company agreement governing ownership, management, voting, economics and member rights.”

Why LLC operating agreement matters to a first-time founder

This agreement is the practical rulebook between LLC members. It can determine control, distributions, transfers, departures and dispute handling, filling gaps or changing default state-law rules where permitted. Clear terms reduce the chance that founders discover incompatible expectations after money or work has been contributed.

Examples of LLC operating agreement

Three members form an LLC and agree that major borrowing requires unanimous approval, routine decisions require a majority and profits follow specified percentages. Their operating agreement also covers vesting, permitted transfers and what happens if a member leaves or dies.

Common misunderstanding

It is not the same as the public formation document filed with a state, and a generic template may not reflect the members’ deal. Requirements and enforceability vary by state. Even a single-member LLC may benefit from a written agreement and separate records.

When to use it

Use one when forming or changing a US LLC, admitting a member, raising money or reallocating rights. Record contributions, ownership, management, voting, distributions, tax provisions, transfers and exit events. Have counsel qualified in the formation state align it with mandatory law and filings.
