Why insolvent matters to a first-time founder
The label can trigger serious legal consequences and should not be used casually. For a company, directors may need to prioritise creditors and restrict further commitments once insolvency is probable. Acting early can protect records, reduce avoidable losses and leave more options for rescue or an orderly closure.
Examples of insolvent
A retailer owes ₦70 million this month but has ₦8 million in cash and no agreed finance. Stock may be worth ₦100 million at retail prices, yet it cannot be sold quickly enough to pay due debts. The company may be insolvent under a cash-flow test and needs immediate professional advice.
Common misunderstanding
It does not simply mean unprofitable, short of cash today or worth less than before. A business can report profit and still be insolvent, or make losses while remaining able to pay debts. The legal conclusion depends on evidence, timing, asset values and the test applied in that jurisdiction.
When to use it
Use the word only after examining due dates, realistic cash inflows, asset values and applicable law. If the position is uncertain, avoid assurances that creditors will be paid and do not incur obligations without advice. Contact a licensed insolvency practitioner or qualified lawyer promptly and document board decisions.
