General partner

“A partner who helps run a partnership and is personally liable for all its debts, with no cap. In venture capital, the general partner (GP) is the firm or partner that manages a fund and makes its investment decisions.”

Why general partner matters to a first-time founder

Becoming a general partner can put both your decision-making power and personal assets on the line. If the partnership cannot pay a supplier or lender, a general partner may be personally responsible. The precise exposure depends on the partnership structure and local law.

Examples of general partner

Amira and Ben run a catering business as general partners. The partnership owes a supplier ₹1.8 million but has only ₹600,000 available. Depending on local law and their agreement, the supplier may pursue one or both partners personally for the unpaid balance.

Common misunderstanding

A general partner is not the same as a limited partner. A general partner normally manages the business and carries unlimited liability, while a limited partner usually has restricted management rights and liability limited to their investment, subject to local law.

When to use it

Use the term when reviewing a partnership agreement, choosing a legal structure or explaining who controls a partnership. Before accepting the role, obtain local legal and tax advice, check insurance and understand whether another structure could protect personal assets more effectively.
