Why evergreen contracts matter to a first-time founder
Automatic renewal can protect recurring revenue and avoid service gaps, but it can also lock the company into unwanted suppliers or customer obligations. Missing a notice deadline may add another year of cost. Consumer and business-to-business renewal rules differ by jurisdiction, including required reminders and cancellation rights.
Examples of evergreen contracts
A software agreement runs for twelve months and renews for another twelve unless either party gives 60 days’ notice. The founder reviews it 30 days before expiry, too late to cancel, and owes another ₦24 million. A contract calendar would have surfaced the deadline before the notice window closed.
Common misunderstanding
An evergreen contract is not necessarily permanent or impossible to cancel. It renews under agreed terms until someone follows the termination process. Renewal may be monthly, yearly or another period. A fixed-term agreement, by contrast, can end automatically without either party giving notice.
When to use it
Use automatic renewal when continuity genuinely helps both parties and the notice process is clear. Record renewal dates, price changes and cancellation steps in a contract register. Before offering one, check local rules on consent, reminders and easy cancellation, and avoid designs that deliberately obstruct termination.
