Why escrow agreement matters to a first-time founder
The agreement turns a general promise of neutral holding into operational instructions. It defines the asset, parties, evidence, deadlines, fees and dispute process, reducing the chance that the holder releases too early or cannot act. Ambiguous conditions can leave money or documents trapped while each side argues about completion.
Examples of escrow agreement
An acquisition agreement places ¥15 million of the price in escrow for 12 months to cover specified warranty claims. The escrow agreement identifies the agent, permitted investments, claim notice requirements, release dates and fee allocation. It also states what happens if buyer and seller give conflicting instructions about a claim.
Common misunderstanding
The escrow agreement is not necessarily the main commercial contract. It governs custody and release, while the purchase, investment or service agreement sets the wider transaction rights. An escrow holder is not automatically a judge of every dispute and may retain the asset until joint instructions or a formal decision arrive.
When to use it
Use one whenever a third party will hold material assets pending conditions. Make release tests objective, align them with the main contract and check insolvency, fraud and dispute protections under local law. A generic online template is risky for substantial transactions because custody rules and provider obligations vary.
